Yatharth Hospital & Trauma Care Services Limited has entered into an agreement with Rasmalai Limited, a Cyprus-based investor, for a preferential issue of securities valued at approximately INR 31.5 billion. The transaction will grant Rasmalai Limited a 24.87% stake in the company on a fully diluted basis. As part of the agreement, Rasmalai Limited will have the right to nominate directors to the board and approve certain key decisions, contingent on shareholding thresholds. Existing promoters, including Dr. Ajay Kumar Tyagi, Dr. Kapil Kumar, Dr. Neena Tyagi, and Dr. Manju Tyagi, will also retain certain rights and are subject to a three-year lock-in period on their shares. The deal, finalized September 17, 2026, requires regulatory approvals from the BSE Limited, National Stock Exchange of India Limited, and the Competition Commission of India and does not constitute a change in control of the company.
